Terms of Service

These terms explain how you can use Nezopo, what we do for you, and what we expect from you. Please read them before you create an account.

1. About these terms

Nezopo ("we", "us") provides back-office tools for stores to record sales and keep track of stock, customers and reports. These terms are an agreement between us and the business that creates a Nezopo workspace ("you"). The person who signs up confirms they are at least 18 years old and authorized to agree to these terms for that business.

By creating an account or using Nezopo, you agree to these terms and to our Privacy Policy. If you don't agree, please don't use Nezopo.

2. Your account and your staff

  • Give accurate details when you sign up and keep them up to date.
  • The workspace owner decides who gets access and with which role. You're responsible for what happens under your workspace, including actions by staff you invite.
  • Keep passwords and cashier PINs private, and remove access for people who leave.
  • Tell us right away at the contact below if you think someone got into your account without permission.

3. Plans, trials and payment

You can start on the free plan. Paid plans add features and higher limits, and their prices and limits are shown on the Billing page in your workspace before you choose them.

Plan prices depend on where your business is. Businesses in the Philippines see prices in pesos, and businesses elsewhere see prices in US dollars. We decide this when you sign up, from the country you choose and the country your connection comes from. If your business was placed in the wrong region, contact support and we'll correct it. Your current plan's price doesn't change until you change plans.

  • Trials last for the period shown when the trial starts. Before a trial ends, you can choose the plan you want to continue with.
  • Paid plans are billed in advance and renew each billing period until you cancel. Prices don't include taxes unless we say so.
  • If a payment is missed, we'll let you know. After a grace period we may limit paid features until the account is paid up, but you'll still be able to see and export your data.
  • You can ask us to change or cancel your plan at any time. Changes take effect at the end of the current billing period unless we agree otherwise.
  • Payments for a plan are non-refundable, except where the law requires otherwise. Before you pay, check the plan, billing period and amount shown on the payment screen.

If you accept card payments from your own customers, those payments go through your own payment provider account under that provider's terms. Card payments from your customers are separate from what you pay us.

4. Taxes, receipts and your records

Nezopo is a back-office tool for recording your sales, stock, customers and utang. Think of it as a digital version of your notebook or spreadsheet.

  • Nezopo is not a receipt- or invoice-issuing system. It doesn't issue Official Receipts, Sales Invoices or any other BIR-registered sales document. For businesses in the Philippines, every receipt it prints or emails says "This is not an official receipt or sales invoice" and "This document is not valid for claim of input tax", and the register reminds the cashier to issue the business's own BIR-registered receipt after each sale.
  • Nezopo is not accredited by the BIR as a cash register, point-of-sale machine or computerized accounting system, and it is not your registered books of accounts.
  • You remain responsible for your business's tax and legal obligations, including BIR registration, issuing the receipts or invoices the law requires, keeping your registered books of accounts, and filing and paying taxes.

5. Your data

Your business data stays yours. This includes your products, stock, sales, customers and reports. We only use it to run and support the service for you, as described in our Privacy Policy.

  • You can export your products, customers and reports from your workspace.
  • If you ask us for help, our support team may view your workspace in a read-only support session. Every support session is recorded in an audit log.

6. Our service and intellectual property

Nezopo, including its software, design, logos and content, belongs to us and our licensors and is protected by the Intellectual Property Code of the Philippines. While your account is in good standing, we give you a limited, non-exclusive, non-transferable right to use Nezopo for your business under these terms. This doesn't give you any ownership of Nezopo.

If you send us ideas or feedback, we may use them to improve the service without owing you anything for them.

7. How we process your customers' data

For the records you keep about your own customers, you are the personal information controller and Nezopo is your personal information processor under the Data Privacy Act of 2012. This section is our agreement on how we process that data for you.

We will:

  • process your customers' personal data only to provide the service and on your instructions, including the settings you choose in your workspace;
  • keep it confidential and make sure everyone on our team who can access it is bound to confidentiality;
  • protect it with appropriate organizational, physical and technical security measures;
  • use only the service providers named in our Privacy Policy, bind them to the same protections, and tell you before we add or replace one;
  • help you respond to your customers' requests to exercise their data privacy rights;
  • tell you without undue delay if we learn of a breach affecting your customers' data, and help you meet your notification duties;
  • tell you if we believe an instruction from you breaks the law;
  • give you the information you reasonably need to show you're complying with the law;
  • when your workspace closes, let you export the data and then delete or anonymize it as described in our Privacy Policy, unless the law requires us to keep it.

You will:

  • have a lawful basis for collecting your customers' data and tell them how you use it, for example with your own privacy notice;
  • get and record your customers' agreement before sending them marketing messages;
  • handle your customers' requests about their data, with our help where needed.

8. Acceptable use

Please use Nezopo lawfully and fairly. Don't:

  • sell illegal goods or use the service for fraud or money laundering;
  • try to get into other businesses' data, or around security, limits or billing;
  • overload, scrape, copy or reverse engineer the service;
  • upload harmful code or content you don't have the right to use;
  • send spam or messages to people who haven't agreed to hear from you.

We may suspend access that puts the service, other customers or the public at risk. When we can, we'll tell you first and give you a chance to fix the problem.

9. Availability and changes

We work hard to keep Nezopo running and your data safe, but no service is available all the time. We announce planned maintenance ahead of time, and you can check current status on our status page.

We keep improving Nezopo, so features may change. If we remove something important you rely on, we'll give you reasonable notice.

We aren't responsible for delays or failures caused by events beyond our reasonable control, such as typhoons, earthquakes, floods, power or internet outages, or failures of the networks and providers we rely on.

10. Closing your account

You can stop using the service and ask us to close your workspace at any time. Export anything you want to keep first.

We may close accounts that seriously or repeatedly break these terms, or that stay unpaid after we've reminded you. After a workspace is closed, we delete or anonymize its data as described in our Privacy Policy, except records we must keep by law.

11. Warranties and liability

We provide Nezopo "as is" and "as available". To the extent the law allows, we don't promise it will be uninterrupted or error free, or fit every business's needs.

To the extent the law allows, we aren't liable for indirect or consequential losses such as lost profits or lost sales. Our total liability for any claim is limited to what you paid us for the service in the 12 months before the claim. These limits don't apply to fraud, gross negligence or wilful misconduct, or to any other liability that can't be limited by law.

12. Your responsibility for claims

If someone makes a claim against us because of how you used the service, the data you added, or your breach of these terms or the law, you agree to cover the reasonable losses and costs this causes us. This doesn't apply to the extent the claim was caused by our own fault.

13. Governing law

These terms are governed by the laws of the Republic of the Philippines. If there's a dispute, we'll first try to settle it with you in good faith. If we can't, it will be decided by the proper courts of the Philippines.

14. Updates to these terms

We may update these terms as the service and the law change. If a change is significant, we'll tell you by email or in the app before it takes effect. If you keep using the service after that, the new terms apply.

15. Other terms

  • These terms and our Privacy Policy are the whole agreement between you and us about the service.
  • If a court finds part of these terms invalid, the rest still applies.
  • If we don't enforce part of these terms straight away, we can still enforce it later.
  • You can't transfer your account or these terms to someone else without our written agreement. We may transfer them as part of a merger or sale of our business, and we'll tell you if we do.
  • We'll send notices to the email address of your workspace owner or show them in the app. You can send notices to us at the contact below.
